Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you (“Agent”, “you”) and SalesNerve (“SalesNerve”, “we”) governing your access to and use of the SalesNerve software-as-a-service platform (the “Service”). By creating an account or using the Service you agree to these Terms and to our Privacy Policy.
1. Eligibility
You must be at least 18 years old and a licensed insurance professional (or acting under the supervision of one) to use the Service. You represent that the information you provide during signup is accurate and that you are authorized to agree to these Terms on behalf of yourself or your organization.
2. Accounts
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at security@salesnerve.com if you believe your account has been compromised.
3. Acceptable use
You agree not to use the Service to:
- Place calls to numbers on the National Do Not Call Registry absent a valid exemption.
- Place calls outside the TCPA-permitted window of 8:00 a.m.–9:00 p.m. prospect local time.
- Place calls to prospects from whom you do not have the required level of TCPA consent.
- Record calls in violation of federal or state call-recording laws, including two-party consent states.
- Impersonate another person or misrepresent your identity, license status, or carrier appointments.
- Upload or transmit content that is unlawful, defamatory, or infringes the rights of others.
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
- Scrape, harvest, or otherwise collect data from the Service except through supported APIs.
- Use the Service to send unsolicited commercial messages in violation of CAN-SPAM or similar laws.
4. TCPA, DNC, and call-recording compliance
You are solely responsible for your compliance with the Telephone Consumer Protection Act (TCPA), the rules of the Federal Communications Commission, the Federal Trade Commission's Telemarketing Sales Rule, state Do Not Call registries, and all applicable state call-recording and two-party consent laws. The Service provides an automated recording disclosure to prospects at the start of each call and records the timestamp at which the disclosure was played, but you remain responsible for verifying that your use of the Service in your specific jurisdiction complies with all applicable law.
You represent and warrant that, for every call you initiate through the Service, you have obtained the level of consent required by law for the type of dialing technology and messaging involved, and that you have scrubbed the destination number against the National Do Not Call Registry and any applicable state DNC list.
5. Insurance licensing
You represent and warrant that you hold all insurance licenses required in every state in which you solicit or sell insurance products through the Service, and that your licenses are current and in good standing. The Service's license tracking features are provided for convenience only and do not constitute legal or regulatory advice.
6. Your content
You retain all ownership of content you submit to the Service (“Agent Content”), including playbook entries, carrier data, notes, and lead information. You grant SalesNerve a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and otherwise use Agent Content solely to operate and improve the Service. We will not use Agent Content to train models that are delivered to other customers without your consent.
7. AI output disclaimer
Coaching suggestions, summaries, and scores produced by the Service are generated by automated systems and large language models. They may be inaccurate, incomplete, or outdated, and must not be relied on as legal, regulatory, or compliance advice. You are responsible for reviewing any output before acting on it.
8. Fees
Access to the Service may be subject to subscription fees disclosed at the time of purchase. All fees are in US dollars, are non-refundable except as required by law, and are exclusive of any applicable taxes. We may change pricing on prospective renewal terms with reasonable notice.
9. Suspension and termination
We may suspend or terminate your access to the Service at any time for any violation of these Terms, for non-payment, or if we believe continued use poses a security, legal, or reputational risk. You may terminate your account at any time by contacting support. Upon termination, sections 6, 7, 10, 11, 12, 13, and 14 survive.
10. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR COMPLIANCE OR REGULATORY OBLIGATIONS.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SALESNERVE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SALESNERVE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO SALESNERVE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless SalesNerve and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any applicable law or regulation including TCPA, DNC, or state recording laws, or (d) your Agent Content.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflicts of laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
14. Changes
We may update these Terms from time to time. Material changes will be announced by email or through the Service. Continued use of the Service after the effective date of an updated Terms constitutes acceptance of the updated Terms.
